1. Beta-Rubicon, Inc. Privacy of Information Policy
At Beta-Rubicon, we recognize that information privacy is important. This Policy applies services offered by Beta-Rubicon, Inc. or its subsidiaries or affiliated companies (collectively, Beta-Rubicon "services").

Information we collect and how we use it – We offer individualized services that may require you to technical and business information to us. In order to provide our services.
Affiliated sites – We may offer links to other websites as part of our services. Information that you provide directly to such sites may constitute privacy issues outside the bounds of the Beta-Rubicon Information Privacy Policies. Beta-Rubicon does not exercise control over linked sites and does not collect information as a result of your contact with those sites.
Business merger or acquisition – In the event that Beta-Rubicon, Inc. goes through a business merger, acquisition by another company, or sale of all or a portion of its assets, certain business or contracts information may be among the assets transferred. Beta-Rubicon, Inc. will provide notification on its website for a minimum of 30 days if any such change in ownership takes place.
Enforcement – Beta-Rubicon will regularly review its compliance with this Policy. Please feel free to direct any questions or concerns regarding this Policy or Beta-Rubicon's use of information by contacting us directly. When we receive formal written complaints at this address, it is Beta-Rubicon’s policy to contact the complaining party regarding his or her concerns. We will cooperate with the appropriate regulatory authorities, including local data protection authorities, to resolve any complaints regarding the transfer of data that cannot be resolved between Beta-Rubicon and an individual.
Changes to this policy – Please note that this Information Privacy Policy may change from time to time. We will not reduce your rights under this Policy without your explicit consent, and we expect most such changes will be minor. Regardless, we will post any Policy changes to this page, and, if the changes are significant, we will provide a more prominent notice (including, for certain services, direct email notification).
Information security – We take appropriate security measures to protect against unauthorized access to or unauthorized alteration, disclosure, or destruction of data. These security measures include internal reviews of our data collection, storage and processing practices, and security measures, as well as physical security measures to guard against unauthorized access to systems where we store data. We restrict access to any technical or business information that we receive from you to Beta-Rubicon employees and third party service providers who need to know that information in order to operate, develop, or improve our services. These individuals are bound by confidentiality obligations and may be subject to discipline, including termination and criminal prosecution, if they fail to meet these obligations.
2. Non-Disclosure & Non-Compete Agreement

Beta-Rubicon and Business Associate both agree that trade secret, confidential, or proprietary information as set out below (Confidential and Trade Secret Information) that is received by the Other Party during the pursuit of business discussions in accordance with Agreement, which concerns personal, financial, technical, or other affairs of Either Party will be treated by the Other Party in full confidence and will not be revealed to any other persons, firms, or organizations, except:
(1) information that, at the time of disclosure, is in the public domain or which, after disclosure, becomes part of the public domain by publication or other through no action or fault of either party; or
(2) information that Beta-Rubicon or Business Associate can show is in its possession at the time of disclosure and was not acquired, directly or indirectly, from Other Party; or
(3) information that was received by Beta-Rubicon™ or Business Associate from a third party having the legal right to transmit that information.Confidential andTrade Secret Informationincludes information including, but not limited to, the following:
.1.1 research and development work; source code; object code; run-time libraries; system documentation; software-related documentation; system configurations; hardware design; firmware design; construction, layout, and operations of Beta-Rubicon or Business Associate’s facilities and equipment; all of these items both for customers of Beta-Rubicon or of Business Associate and for internal operations of Beta-Rubicon or of Business Associate;

1.2 contents of contracts or proposals for technical research or development; costing and estimation procedures and formulae regarding proposals or other uses; sales, profit-and-loss, profit margin, production costs, overhead, and other bookkeeping and accounting information; all information regarding business development and marketing; names and identities of vendors and suppliers not well known to the trade; costs and contents of proposals and actual contracts with all such vendors and suppliers; procedures, systems, patentable or un-patentable intellectual property, copyrightable or non-copyrightable intellectual property, trade secrets;

1.3 confidential information revealed to Either Party by third parties and that that Party is obligated to keep confidential; all copies of this Agreement and any other information that may be considered by Either Party as that Party’s confidential information under applicable laws.Both Beta-Rubiconor Business Associate may receive information from the Other that reveals its proprietary methods and practices.

Both Beta-Rubicon and Business Associate agree to hold all such confidential information and will use it only for the purposes stated herein. Said information shall not be disclosed to any third parties unless and until Beta-Rubicon or Business Associate enter into an agreement with said third parties, except information that is commonly known within the practice prior to the date of this agreement, or is publicly available, or otherwise in the public domain; or methods or practices that have been described and are otherwise publicly available.
